Cognition is reportedly seeking about one billion dollars at a valuation near forty-seven billion, a dramatic proposed jump from the twenty-six-billion-dollar mark reported just three months ago. The company, best known for its AI engineering agent Devin, is attracting enormous attention—but this financing is not closed. Bloomberg reports nearly ten billion dollars in investor interest. That signals demand for the round, not ten billion dollars of committed capital. The size, valuation, and terms could all change as negotiations continue, and Cognition has not commented. The proposed price also sits well above the company’s previous financing milestones. In September 2025, Cognition raised more than four hundred million dollars at a ten-point-two-billion-dollar post-money valuation. Three months ago, Bloomberg reported a separate one-billion-dollar raise at a twenty-six-billion-dollar valuation. Revenue growth is part of the case for that rapid repricing. Bloomberg’s source put Cognition’s annualized revenue above nine hundred million dollars, compared with four hundred ninety-two million dollars that Cognition said it had reached in late May. Those figures come from different sources. Cognition has also expanded beyond Devin through its acquisition of Windsurf, more than doubling annual recurring revenue and adding integrated development environments to its product suite. In practical terms, it now sells both agents that handle coding tasks asynchronously and tools where engineers make decisions with AI assistance. The key fact to watch is whether this proposed forty-seven-billion-dollar valuation survives the negotiations and becomes a completed round.

Story brief

3 key points

Cognition’s proposed financing would put the Devin maker at roughly $47 billion, nearly doubling its reported $26 billion mark from three months earlier. Bloomberg reports about $10 billion in investor interest and more than $900 million in annualized revenue, but the round remains under negotiation and neither its size nor valuation is final. The company’s expanding scope matters: after acquiring Windsurf,...

  1. 01

Bloomberg reports nearly $10 billion in investor interest, but that indicates demand—not committed capital; negotiations may change size, valuation, or terms.

  2. 02

Reported annualized revenue rose from $492 million in late May to more than $900 million, though the figures come from different sources.

  3. 03

Cognition’s September 2025 financing exceeded $400 million at a $10.2 billion post-money valuation; a $26 billion mark followed three months ago.

Cognition is reportedly seeking about $1 billion at a valuation of roughly $47 billion, setting a new proposed benchmark for the company behind the AI engineering agent Devin. The financing is still under negotiation, so the final size and terms may change.

Interest is high; the round is not final

Bloomberg, citing people familiar with the private discussions, said Cognition has received nearly $10 billion in investor interest. The company is raising around $1 billion, though the total could be larger. That interest is a measure of demand for this financing, not a completed investment: negotiations are ongoing, and Cognition did not respond to Bloomberg’s request for comment.

The proposed valuation is a steep step from Cognition’s recent reported funding mark. Bloomberg said the startup raised $1 billion at a $26 billion valuation three months earlier. In September 2025, Cognition said it had raised more than $400 million at a $10.2 billion post-money valuation.

Revenue growth now sits beside a broader product base

The valuation discussion is paired with a higher reported revenue run rate. Bloomberg said Cognition was generating more than $900 million in annualized revenue, citing a person familiar with the business. That compares with $492 million in annualized revenue that Cognition said it reached in late May.

The two figures have different sources: the May number came from Cognition, while the later figure came through Bloomberg’s source. Cognition’s September 2025 update also said its acquisition of Windsurf more than doubled ARR, or annual recurring revenue, and gave the company a product suite spanning coding agents and integrated development environments.

Agents and IDEs are different products

Cognition describes Devin as an AI engineering agent. In its product framing, an integrated development environment lets an engineer make each decision with AI assistance, while an agent can take on a complete task asynchronously. The proposed financing would therefore value a company selling both forms of AI coding software, rather than Devin alone.
