Diginex shareholders approve Resulticks acquisition, with Nasdaq clearance still pending
The proposed combination would put sustainability data and AI customer engagement under one company. Shareholders also approved share issuance and a change of control, but the acquisition has not closed.
The proposed combination would give Diginex, whose business centers on sustainability and compliance software, a foothold in AI-driven customer engagement through Resulticks. Resulticks’ Genie platform is designed to use agentic AI for real-time engagement, but the vote does not mean the businesses or products are integrated: Nasdaq review, regulatory and third-party consents, and funding conditions remain before closing. Diginex says it plans to issue 600 million shares to Resulticks’ sellers, subject to a ten-for-one consolidation, and Resulticks co-founder Redickaa Subrammanian would lead the combined company if the deal closes.

At the October 8 meeting, about 98.8% of votes present approved the amended acquisition agreement and the change of control.
02
Diginex reported Resulticks’ fiscal 2025 revenue as $150 million, attributing the figure to information supplied by Resulticks.

Diginex’s shares continue trading as DGNX without consolidation until closing; the effective date will be announced separately.
Diginex shareholders have approved the proposed all-share acquisition of Resulticks, advancing a plan to combine sustainability and compliance software with AI customer engagement. Diginex announced the result on October 13, 2026: approximately 98.8% of votes present at the October 8 meeting backed the transaction. The acquisition has not closed; Nasdaq approval and other conditions remain outstanding.
From compliance records to customer responses
Diginex's side of the proposed platform starts with collecting and managing environmental, social and governance data, often shortened to ESG. Its tools cover sustainability reporting, carbon accounting, investment intelligence and supply-chain risk. The company also provides worker-feedback and human-rights remediation services, combining software, analytics and advisory work.
Resulticks works on a different task: using customer data and signals to guide engagement. The company describes technology that brings together customer records, real-time decisions, coordinated customer journeys, communication across channels and analytics. Its Genie platform is designed to use agentic AI to turn data into real-time customer engagement.
Diginex wants to put those functions in one enterprise intelligence platform. Its stated rationale pairs demand for trusted sustainability data with the use of AI for personalized customer experiences. That is the company's case for the combination, rather than an announcement that a finished, integrated platform is now available.
The target brings a reported revenue base to that proposal. Diginex said Resulticks reported $150 million in revenue for fiscal 2025, repeating a figure announced on August 14, 2026. The release specifies that Resulticks supplied its financial information; the number is an attributed company figure.
Shares, control and a new leadership team
The approved payment is shares rather than cash. Diginex would issue 600 million new ordinary shares to Resulticks' sellers, with that number adjusted for a ten-for-one share consolidation. Shareholders approved both the amended purchase agreement and the resulting change of control, making the vote about ownership as well as the acquisition itself.
The consolidation would combine every ten ordinary shares into one. It and the approved increase in authorized share capital are conditional on closing. Diginex will announce the consolidation's effective date separately. Until then, its ordinary shares continue trading on Nasdaq as DGNX without the consolidation taking effect.
Shareholders also approved amended constitutional documents. The all-share transaction includes lock-up arrangements, which Diginex says reflect long-term alignment between the two shareholder groups. Those arrangements are part of the proposed ownership structure, not evidence that the companies have already become one business.
Leadership would change at completion. Resulticks co-founder and CEO Redickaa Subrammanian would become chief executive of the combined company. Miles Pelham would step down as chairman, and the board would be reconstituted with new directors designated by Resulticks' shareholders.
Nasdaq review remains a closing condition
The combined company's initial listing application has been submitted to Nasdaq and is under review. The remaining closing conditions also include required regulatory and third-party consents and previously announced funding conditions. The shareholder vote clears one requirement; it does not substitute for those approvals or the other conditions.
Diginex and Resulticks intend to complete the transaction as soon as practicable after Nasdaq approval and satisfaction or waiver of the remaining conditions. Diginex cautions that approval and completion are not assured. It also says services to existing Diginex clients will continue without disruption.
