Story brief
3 key pointsLegora’s November 4 Form D reports $220.8 million in equity sales under an offering capped at $550 million, with $329.2 million still to be sold. The filing gives a first-sale date of October 20, but does not explain how its sales figure relates to the $550 million Series E Legora announced the next day. Investors tracking the financing should treat the filing as a partial sales disclosure, not evidence of a second raise or a change to the announced round’s terms.

Form D is a notice of an exempt offering, not a public stock offering or SEC endorsement; the agency warns it may not have reviewed the information.
Legora has put $220.8 million in equity sales to 44 investors on the public record—not the full $550 million listed for the offering. The legal AI company disclosed the figures in a November 4, 2026, SEC filing, two weeks after announcing a $550 million Series E.
The new disclosure separates sales from the offering total
Legora’s Form D lists an exact amount sold of $220,820,026 against a total offering amount of $550 million. It records $329,179,974 remaining to be sold.
The company marked the document as a new notice, rather than an amendment, and identified the securities as equity. It claimed Rule 506(b), the exemption selected for the securities offering. Form D is a notice of an exempt offering, not a public stock offering or an SEC endorsement of the transaction.
October’s announcement supplies context, not a reconciliation
The sale began before the filing became public. Legora gives October 20, 2026, as the date of first sale. CEO Max Junestrand signed the notice on November 4. That chronology makes November 4 the disclosure date, not the stated beginning of the financing activity described in the form.
On October 21, Legora announced a $550 million Series E at an $8.8 billion valuation, TechCrunch reported. Atreides Management led that financing, with participants including Baron Capital, Bessemer Venture Partners, General Catalyst and Menlo. The company said it planned to use the capital to expand across North America.
But the notice does not explicitly reconcile its sales total with the announced round. It therefore should not be read as either a second $550 million financing announcement or, by itself, a revision of the terms Legora announced in October.
The notice defines the offering’s boundaries
The 44-investor count is not a list of buyers. Although the form names executive officers and directors in a separate section, it does not identify the investors behind the reported sales.
- Duration: Legora says it does not intend for this offering to last more than one year.
- Transaction purpose: The company marks the offering as unrelated to a business combination, such as a merger, acquisition or exchange offer.
- Revenue: Legora declines to disclose its revenue range in the notice.
The document also carries the SEC’s warning that the agency has not necessarily reviewed the information or determined whether it is accurate and complete.
