Palo Alto Networks is weighing a move into security for workplace AI agents through a reported bid for Clutch Security, whose software tracks the credentials agents use to reach company systems. The reported offer includes $500 million in cash plus milestone-based payouts, but negotiations are ongoing and may not produce a deal. The proposed purchase would extend Palo Alto Networks’ security focus to agents’ access infrastructure, rather than the tasks agents perform.
TechCrunch reports Clutch was valued at $85 million in its January 2025 Series A, when it raised $20 million.
Clutch is approaching $10 million in annual recurring revenue, according to TechCrunch.
TechCrunch calculates that the reported price would equal about 50 times Clutch’s ARR, excluding milestone payouts.
Palo Alto Networks is negotiating to buy Clutch Security for $500 million in cash plus milestone-based payouts, TechCrunch reports, citing a person familiar with the discussions. The startup protects AI agents’ access to company systems, putting the proposed purchase squarely in the business of securing the tools agents use at work.
The Information first reported the discussions, according to TechCrunch. The talks are ongoing and may not lead to a deal, Seeking Alpha reported, citing The Information. Neither Palo Alto Networks nor Clutch responded to TechCrunch’s requests for comment.
Clutch’s software helps businesses track passwords and authentication codes used by AI agents. Its focus is the access connecting those agents to company systems: the credentials they use, rather than the tasks they perform. That gives the potential acquisition a specific security role within the wider category of AI-agent software.
TechCrunch’s source put Clutch’s valuation at $85 million in its January 2025 Series A.
TechCrunch reports that Clutch is approaching $10 million in annual recurring revenue.
Clutch raised $20 million in that Series A, led by Lightspeed and SignalFire, according to TechCrunch’s source. The financing provides a historical reference for the proposed purchase: the cash component alone would put the acquisition price well above the valuation investors assigned in January 2025.
Revenue offers a different yardstick. Annual recurring revenue, or ARR, expresses recurring sales on an annual basis. TechCrunch calculates that an acquisition at the reported price would value Clutch at about 50 times ARR. That multiple compares the purchase price with the startup’s current recurring sales, rather than its earlier fundraising valuation, and excludes the additional milestone-based payouts.
