Progress warned that integration disruption, unrealized synergies, and tax benefits could affect the deal’s payoff.
Progress Software’s $400 million purchase of Domo’s AI and data platform business is now closed. The deal adds a cloud-native data business to Progress’s existing offerings, but its promised contribution to secure, scalable enterprise AI remains an integration objective rather than a reported result.
Progress said September 22 that it acquired substantially all of Domo’s AI and data platform business assets and assumed certain liabilities. It funded the transaction with cash and its existing revolving credit facility.
What now sits inside Progress
- Domo’s cloud-native AI and data platform business will become part of Progress’s data-platform offerings.
- The acquisition adds a customer base of more than 2,400 businesses.
- Progress says Domo also brings global strategic partners, including leading cloud data warehouse providers.
Before the close, Domo had expected the transaction to finish by the end of September, subject to remaining conditions. It said there was no financing condition, while a 20-day stockholder notice period followed the August 24 mailing of its definitive information statement.
The operating case is about data context and control
Chief Executive Yogesh Gupta said organizations need trusted data and knowledge to give AI the right context, along with governance, security and oversight to retain control. Progress says adding Domo strengthens its ability to help customers connect, govern and activate enterprise data for AI and agentic initiatives. Those are the company’s stated goals, not post-deal performance measures.
Progress’s own forward-looking disclosures identify the main constraint: disruption could affect relationships with employees, licensees and partners, while anticipated synergies or tax benefits may not materialize and the business may not be successfully integrated.
Financial detail comes next
Progress plans to provide additional information on the acquisition’s financial impact at its third-quarter earnings conference call on September 30. That update should offer the next public indication of how the company expects the completed purchase to affect its business.
